Terms of Service
Last updated: October 22, 2026
Effective date: October 22, 2026
1. Agreement and Scope
These Terms of Service (“Terms”) are a binding agreement between you and Notari Labs Inc. (“Notari Labs,” “Notari,” “we,” “us,” or “our”) governing your access to and use of notarilabs.com, Notari applications, Notari-branded physical devices, our online store, AI-enabled features, and related services (collectively, the “Services”).
Notari offers free digital services and optional paid digital services, including auto-renewable subscriptions and, where available, separately purchased credit packs. The features, usage allowances, storage limits, subscription duration, and price applicable to each offer are disclosed before purchase. Free services remain subject to the limits displayed in the app and reasonable-use controls. Notari may adjust free allowances prospectively with appropriate notice. Digital purchases made through the iOS app are processed using Apple In-App Purchase, as described in Section 10. Notari may also make promotional benefits available through redemption codes or with eligible Notari devices, as described in Sections 10.10 and 10.11.
Purchases of optional Notari physical devices or accessories are governed separately by the applicable physical-product terms, Return and Refund Policy, Shipping Policy, and warranty. Any digital benefits included in a hardware promotion must be expressly described in that offer.
2. Eligibility and Service Availability
You must be at least 18 years old or the age of legal majority where you live, whichever is higher, and legally capable of entering a contract. The Notari app and its associated digital services are currently offered to eligible residents of the United States, the United Kingdom, Canada, and Australia, subject to the limitations in this section, service capacity, and applicable law.
The app and associated digital services are not currently offered to residents of Quebec, Canada. If you reside in Quebec, you are not eligible to register for or use those services at this time. This availability restriction does not exclude any privacy rights or other mandatory rights that apply to information we already hold or to our activities under applicable law.
Notari physical products are currently offered for sale only in the United States and are available for delivery only to addresses in the United States. Availability of the app in another country does not make physical products available for sale or delivery in that country.
You may not use the Services if you are barred by applicable law or sanctions.
3. Accounts and Security
A Notari account is required to access the app. Registration does not require an invitation code. Account registration and sign-in use email verification, a password you set, or a supported sign-in provider. If your account was created with email verification, you may set a password later in Account settings. Changing your password signs out your other active sessions. Sessions expire automatically after a period of inactivity and after a maximum session duration, after which you must sign in again.
You may not share, transfer, sell, or allow another person to use your account. You are responsible for keeping your password and verification codes confidential and for activity performed through your account unless caused by Notari’s failure to use reasonable security measures. Notify us promptly at support@notarilabs.com if you suspect unauthorized access.
You may sign out or initiate account deletion through Account Management in the app. Upon confirmation, your account is disabled immediately and any active share links for your content stop working. Within seven days, Notari permanently deletes the account and its associated recordings, transcripts, summaries, notes, share-link content, and device associations from active production systems and backups. Notari may retain limited transaction, fraud-prevention, security, dispute, or legal records when required or permitted by law, as described in the Privacy Policy.
Deleting your Notari account does not automatically cancel an Apple subscription or stop charges by Apple. If you have an active subscription, manage or cancel it through your Apple subscription settings before deleting your account. You may still proceed with immediate account deletion without waiting for the subscription to expire. Deleting your account removes access to the associated Notari services and User Content; it does not itself request a refund from Apple.
Account creation is free. Eligible prospective users in the United States, the United Kingdom, Canada excluding Quebec, and Australia may register directly in the app. Eligibility is subject to Section 2. No hardware purchase, enterprise agreement, subscription, fee, or other payment is required to create an account. Optional paid digital services are described in Section 10.
Removing the invitation-code requirement does not cancel or reduce promotional credits or plan benefits already granted to registered users, including benefits granted through an invitation. Remaining credits and plan benefits continue under the original grant's amounts, duration, expiry dates, and usage rules. Open registration does not renew or extend those grants, restore benefits already used or expired, or automatically grant former invitation benefits to new accounts.
4. Devices, Connectivity, and Updates
The core app features can be used on a supported iPhone using its built-in microphone and do not require a Notari hardware device. Users may record directly with the iPhone and use transcription, summarization, AI question-and-answer, sharing, and note features without owning or connecting a Notari recording device. Hardware-dependent features—including pairing with an N1 Pro, recording through the physical device, synchronizing device recordings, managing device firmware, and the device transcription benefits described in Section 10.11—require compatible Notari hardware. Internet access and cloud upload are required for transcription, summarization, sharing, and other cloud-based AI processing.
5. Recording and Consent Responsibilities
You are responsible for lawful recording. Before recording, uploading, transcribing, separating speakers in, or sharing a recording or its transcript or summary, you must provide all notices and obtain all permissions required by recording, wiretapping, confidentiality, workplace, privacy, and other applicable laws. Some jurisdictions require every participant’s consent.
You represent and warrant that you have the rights and permissions necessary for User Content and your use of it. Do not use Notari to record where recording is prohibited, to evade a person’s refusal, or to capture privileged, confidential, regulated, or sensitive information without authorization. Notari does not provide a determination that a recording is legal. Your responsibilities under this section do not limit Notari’s own obligations under applicable privacy and data protection laws.
6. AI Features and Outputs
The Services may use automated systems and third-party or hosted AI models to transcribe, separate speakers, summarize, answer questions, organize information, or generate other output. AI Output can be inaccurate, incomplete, outdated, offensive, or misleading and may not be unique. You must review it against the source and exercise independent judgment, including before sharing it with others.
Do not use AI Output as the sole basis for medical, legal, financial, safety, employment, credit, housing, insurance, law-enforcement, or other high-risk decisions. Notari is not a professional adviser and does not guarantee speaker separation, transcription, or output accuracy.
7. User Content; Ownership and License
“User Content” includes audio recorded through the iPhone, audio synchronized from a Notari recording device, imported audio files, transcripts, speaker labels, summaries, notes, prompts, corrections, content published through share links, and other content submitted or created through the Services. You grant Notari and its contracted providers a limited, nonexclusive, worldwide, royalty-free license to host, copy, transmit, format, analyze, display to you and to people you share it with, and otherwise process User Content only as reasonably necessary to provide, secure, maintain, troubleshoot, and comply with law for the Services you request.
The license ends when User Content is deleted from active production systems and backups in accordance with the seven-day deletion schedule described in the Privacy Policy, subject only to limited legal-retention exceptions and de-identified or aggregated information that no longer reasonably identifies you. It does not authorize Notari or a third party to train a general-purpose or foundation AI model on User Content without your separate explicit, informed opt-in. We may use operational metrics, feedback, and de-identified or aggregated information that does not reasonably identify you to improve quality and safety.
7.1 Share Links
You may create a read-only share link for a recording’s transcript, summary, or both. Anyone who has the link can view the content you choose to include, including the recording’s title, transcript text, speaker labels, timestamps, and summary, without signing in. Audio is not included in share links. Share-link pages are designed so that search engines are asked not to index them, but Notari cannot prevent a person who has the link from forwarding it or copying the shared content.
You control whether a link is active. You may turn a link off at any time, and the link stops working when the related recording or your account is deleted. Turning a link off or deleting content does not remove copies that recipients have already made.
You are responsible for the content you share and for ensuring you have the rights, notices, and consents needed to share it, including for other people’s voices or information included in the recording. Sharing does not grant recipients any license to your User Content beyond viewing it through the link.
The Services do not provide public posting, community features, comments, messaging, following, or other user-to-user interaction. Other than content you choose to publish through a share link, User Content is not made available to other users through the Services, and recipients of a share link cannot access any other content in your account. Notari and the relevant service providers process User Content as necessary to provide the requested features and for the other limited purposes described in the Privacy Policy. Any disclosure is subject to the restrictions described in the Privacy Policy and applicable law.
8. Speaker Separation
Notari may process voice characteristics within an individual recording to distinguish speakers and assign generic speaker labels. This processing is limited to the selected recording. The current release does not create or retain persistent voice profiles, identify a person across recordings, or provide biometric identity-verification services.
9. Acceptable Use
You may not use the Services to:
- violate law or another person’s privacy, publicity, biometric, intellectual-property, contractual, confidentiality, or other rights;
- record, monitor, impersonate, stalk, harass, exploit, defraud, threaten, or harm a person without lawful authority;
- share content through a share link that you do not have the right to share, that discloses another person’s confidential or personal information without required authorization, or that otherwise violates this Section 9;
- upload malware, interfere with security or availability, probe or access systems without permission, or facilitate cyber abuse;
- reverse engineer, decompile, extract model weights, discover source code, scrape, benchmark for a competing model, or circumvent limits, except to the extent a restriction is prohibited by law;
- resell, sublicense, rent, time-share, or operate the Services as a service bureau without written permission;
- generate or distribute unlawful, deceptive, infringing, sexually exploitative, or seriously harmful content;
- use automated means that impose unreasonable load, create accounts or transactions deceptively, circumvent access or usage limits, or guess, generate, or misuse redemption codes or share links;
- submit protected health information, regulated children’s data, passwords, financial-account credentials, government identifiers, or other specially regulated data where Notari has not expressly agreed in writing to handle it; or
- remove notices, falsify provenance, or misrepresent AI Output as verified human work where that would deceive or violate law.
We may investigate suspected misuse and remove content, disable share links, restrict features, suspend an account, preserve evidence, or report conduct when reasonably necessary and lawful.
10. Purchases and Orders
10.1 Physical Products
This subsection applies only to optional physical devices and accessories purchased through the Notari website. The iOS app does not sell physical goods. App Store digital purchases are governed by Sections 10.2 through 10.9 and are not subject to the physical-product return policy.
A physical-device purchase does not require a paid digital subscription. Any included promotional digital benefits, their duration, and their limits will be stated in the applicable offer or described in Section 10.11; otherwise, the purchase price covers the physical device and related physical-product services only.
Prices, taxes, shipping, product availability, and payment methods are shown at checkout. You authorize us and our payment providers to charge amounts you approve. We may correct errors before shipment, reject or limit orders, require verification, or cancel an order for fraud, inventory, pricing error, unsupported address, resale concerns, or legal reasons. If we cancel after charging you, we will issue an appropriate refund.
Hardware returns, activation restrictions, preorders, final-sale items, refunds, shipping, and warranty coverage are governed by the applicable posted policies. Opening a device does not itself defeat the voluntary 30-day return, but activating the device does. A device is considered activated when it is first registered to a Notari account or paired with a phone.
10.2 Subscription Plans and Billing
Notari offers monthly and annual auto-renewable subscriptions. Before you subscribe, the purchase screen identifies the plan, billing period, full price, and included features, usage allowances, and storage limits. Prices may vary by country or region and are displayed in the currency and local price provided by the App Store. An annual subscription is billed for the full annual amount; any monthly equivalent is a comparison and is not a monthly installment option.
10.3 Payment, Automatic Renewal, and Cancellation
Payment is charged through your Apple Account when you confirm a purchase. Your subscription automatically renews for the applicable billing period unless you cancel before renewal. Your Apple subscription settings show your renewal information and price. We recommend cancelling at least 24 hours before the renewal date to avoid a further charge. Subscription price changes are handled through the App Store’s applicable notice and consent procedures.
You can manage or cancel your subscription through your Apple subscription settings, including Settings → your name → Subscriptions on iPhone. Turning off automatic renewal does not itself refund a payment already made. Except where a refund, revocation, or applicable law requires otherwise, your paid subscription remains valid through the end of its paid service period. Uninstalling the app, signing out, or deleting your Notari account does not automatically cancel an Apple subscription. Account deletion has the separate effects described in Section 3.
10.4 Subscription Usage Allowances
For plans with monthly usage allowances, those allowances are made available one month at a time. Annual payment purchases a year of service; it does not make all twelve monthly allowances available immediately. Cancelling automatic renewal does not, by itself, stop the remaining monthly allowances within the paid annual service period. The plan details show the applicable allowance amount and schedule.
Subscription usage allowances apply to their stated service periods and do not accumulate across periods. Unused allowances end with the applicable period or when that subscription period is replaced by an effective upgrade. A new period receives the applicable plan allowance. Separately purchased credit packs are accounted for separately, do not expire, and are not removed merely because a subscription changes or ends. Nothing in these Terms permits expiration of credits purchased through Apple In-App Purchase where Apple’s rules prohibit it.
Some plans also include per-recording allowances for AI features, such as a number of free summaries or questions for each recording, and these allowances may apply only to certain AI models. The plan details identify the applicable allowances and eligible models. AI requests that exceed an allowance or use a model outside it are charged as described in the app before you confirm the request. Storage limits, which may be unlimited for some plans, are shown in the plan details.
Promotional Credits granted through a redemption code, promotion, or other non-purchase grant may carry an expiration date, which is shown in the app. This does not apply to Credits purchased through Apple In-App Purchase, which do not expire.
10.5 Subscription Changes
Upgrades to a higher subscription level generally take effect immediately. Downgrades and changes between monthly and annual billing at the same level generally take effect at the next renewal. The effective date, charge, and any applicable refund or adjustment are determined by the transaction confirmed by Apple. When an upgrade replaces the current subscription period, the old period’s unused subscription allowance ends and the new plan’s full monthly allowance becomes available. Separately purchased credits are unaffected. Notari does not calculate an Apple refund by converting remaining usage allowances or credits into cash.
10.6 Restoring Purchases
To restore an eligible subscription, use the Apple Account used for the original purchase and sign in to the Notari account associated with that purchase. Use Restore Purchases or contact support@notarilabs.com if your subscription does not appear. Restoring a purchase does not create another subscription or issue duplicate allowances. Consumable credit packs are recorded in your Notari account balance; restoring purchases does not replenish credits already used.
10.7 App Store Refunds
For purchases billed by Apple, you can request a refund through Apple’s refund process. Apple reviews requests under its applicable policies and applicable law. Notari’s physical-product return policy does not govern App Store digital purchases. If Apple refunds or revokes a purchase, the associated digital benefits and unused credits may be adjusted or removed as appropriate to that transaction. Nothing in these Terms excludes consumer rights or remedies that cannot lawfully be excluded.
10.8 Separately Purchased Credit Packs
Where offered, credit packs are separate purchases and do not automatically renew. Credits purchased through Apple In-App Purchase do not expire. They may be used for eligible Notari services as described before purchase and are not a cash balance or a means of transferring money. Refunds are subject to Section 10.7 and mandatory consumer rights. A refund or revocation may result in removal of the unused credits attributable to that purchase.
10.9 Paid Service Commitments
We will provide the paid benefits offered for your current subscription period, including any applicable billing grace period. If we cannot do so, we will provide the notices and remedies required by applicable law and the applicable App Store arrangements. Changes to the Services under Section 14 do not override these commitments or your mandatory consumer rights.
10.10 Redemption Codes and Promotional Benefits
Redemption codes are always free. Notari distributes them free of charge as promotions, including to existing users and to purchasers of Notari hardware. Notari does not sell redemption codes in the app, on its website, or through any other channel, and no payment, purchase, subscription, or fee is ever required to obtain or redeem a code. Redeeming a code never results in a charge to you, does not start a paid subscription, and does not enroll you in automatic renewal. Codes are not available for purchase, and any code offered for sale by a third party is not authorized by Notari. Depending on the code, it may grant subscription plan time, promotional Credits, a device benefit, or a combination of these. The benefits, their duration, and any expiration date are shown before you confirm redemption and in your redemption history.
Promotional benefits are not purchases, have no cash value, and may not be sold, transferred, or exchanged. A code may have a redemption deadline or a limited number of uses. Notari may refuse or reverse a redemption obtained through fraud, error, or a violation of these Terms. A promotional plan does not reduce a higher plan you already have, and multiple promotional plans do not automatically combine into a longer membership. While a promotional plan is active, some App Store subscription options may not be available for purchase.
10.11 Notari Device Transcription Benefits
Where offered, an eligible Notari recording device may include free Standard transcription for recordings synchronized from that device through the Notari app during the benefit’s coverage period. The coverage period is shown in the app and begins when the device is first activated. A Genesis device benefit, where granted through a redemption code to a device bound to your account, provides this coverage without an end date.
Eligibility is determined when the recording’s upload is accepted. A recording that qualified keeps its eligibility after coverage ends. Device benefits are tied to the physical device’s serial number rather than to an account, and they are not restarted by unbinding, reconnecting, resetting, or transferring the device. Device benefits do not cover other AI features, imported audio, or recordings made with the iPhone microphone, and transferring a device does not give the new owner access to the previous owner’s files.
11. Third-Party Services
The Services use third-party providers, including Amazon Web Services for hosting, storage, databases, and email verification; AssemblyAI for transcription; pyannote.ai for speaker separation; Baseten-hosted open-source models for transcript refinement and formatting; and Google Gemini, OpenAI, and xAI for user-selected AI summaries and question-and-answer features.
Our Privacy Policy describes the information processed in connection with these services. Where a provider processes personal information on our behalf, the applicable service and data processing arrangements govern that processing. Separate third-party terms and privacy notices may apply where you independently access a third-party service. Our use of service providers does not exclude Notari’s responsibilities to you under these Terms or applicable law.
12. Notari Intellectual Property
Notari and its licensors own the Services, software, designs, documentation, trademarks, and all related intellectual-property rights, excluding User Content. Subject to these Terms, Notari grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to use the Services for your lawful personal or internal business purposes while your account remains active and you comply with these Terms. No other right is granted.
For the iOS app distributed through the App Store, the Apple Standard Licensed Application End User License Agreement (EULA) governs the app license and takes precedence over conflicting app-license provisions in these Terms. These Terms also govern your Notari account, cloud services, subscriptions, and other services. They do not limit your rights under Apple’s applicable terms or mandatory law.
13. Feedback
If you voluntarily provide ideas, suggestions, evaluations, or feedback, you grant Notari a perpetual, irrevocable, worldwide, royalty-free right to use and commercialize it without restriction or compensation, provided this does not grant Notari a right to use User Content for AI training contrary to Section 7. Do not submit feedback you lack authority to provide.
14. Service Changes, Availability, and Termination
Notari may modify, suspend, or discontinue features of the Services for legitimate operational, technical, security, or legal reasons, subject to the paid service commitments in Section 10.9. If a change materially reduces your access to the core Services, we will give reasonable advance notice where practicable. An urgent security issue or legal requirement may require action without advance notice; in that case, we will notify you as soon as reasonably practicable unless prohibited by law. If a change materially affects the handling of User Content or personal information, we will provide the notices, update the applicable Terms or Privacy Policy, and obtain any consent required by law. You may stop using the Services and delete your account if you do not wish to continue. Nothing in this section limits your mandatory rights or remedies.
You may stop using the Services and close your account. We may suspend or terminate access for a material or repeated breach, security risk, unlawful conduct, or when required by law. Where reasonably possible, we will provide notice and an opportunity to cure. On termination, licenses end, share links stop working, and amounts validly owed for physical-product orders and provisions that by nature should survive remain effective, including ownership, disclaimers, limitations, indemnity, and disputes.
15. Privacy
The Privacy Policy describes how Notari handles personal information, including content you publish through share links. User Content must be uploaded for cloud-based transcription, AI processing, and sharing, and those features will not be available for content that is not uploaded. Our no-training commitment and retention rules are described in the Privacy Policy.
16. Disclaimers
Consumers habitually residing in the United Kingdom, Canada, or Australia should refer to Section 17.1, which takes priority over this section. The disclaimers below do not apply to those consumers to the extent specified in Section 17.1.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR THE EXPRESS ONE-YEAR LIMITED WARRANTY, THE SERVICES, SOFTWARE, AND AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NOTARI DISCLAIMS IMPLIED OR STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT TO THE EXTENT A WARRANTY CANNOT BE DISCLAIMED.
NOTARI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, COMPATIBLE WITH EVERY DEVICE OR NETWORK, OR THAT RECORDINGS, TRANSCRIPTS, SPEAKER LABELS, SUMMARIES, OR AI OUTPUT WILL BE COMPLETE OR ACCURATE. THESE DISCLAIMERS DO NOT ALTER THE EXPRESS LIMITED WARRANTY OR NONWAIVABLE CONSUMER RIGHTS.
17. Limitation of Liability
Section 17.1 takes priority over the exclusions and liability caps below for consumers habitually residing in the United Kingdom, Canada, or Australia.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTARI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, GOODWILL, BUSINESS, OR OPPORTUNITY; SUBSTITUTE SERVICES; OR LOSS, CORRUPTION, DISCLOSURE, OR RECOVERY OF DATA, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
To the maximum extent permitted by law, for a claim arising solely from a digital Service provided to you free of charge and not as part of a paid purchase, the aggregate liability of Notari and its affiliates, officers, employees, agents, licensors, and providers will not exceed US$0. This cap does not apply to paid digital Services or limit rights or remedies relating to a paid purchase. Liability for paid digital Services is determined under applicable law, subject to the other lawful provisions of these Terms. For a claim arising from a hardware device or accessory, aggregate liability will not exceed the actual purchase price paid for the specific product giving rise to the claim.
Expiration of a hardware warranty means that free warranty service is no longer available; it does not make all liability zero. The exclusions and caps do not apply to fraud, willful misconduct, death or personal injury where liability cannot be limited, or another liability or remedy that applicable law does not permit us to limit. Some jurisdictions do not allow certain exclusions, so they apply only to the lawful extent.
17.1 Consumers in the United Kingdom, Canada, and Australia
If you use the Services as a consumer and habitually reside in the United Kingdom, Canada, or Australia, this subsection takes priority over conflicting provisions in Sections 16, 17, and 18. The disclaimers in Section 16, the exclusions of liability and monetary caps in Section 17 above, and the obligations to defend or indemnify Notari in Section 18 do not apply to you in your capacity as a consumer. Notari remains responsible for losses for which it is legally responsible under applicable law.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where that liability cannot be excluded or limited, or any other liability that applicable law does not permit us to exclude or limit. Your mandatory consumer and data protection rights and remedies remain unaffected. Any consumer guarantees under the Australian Consumer Law that apply to the Services also remain unaffected.
18. Indemnification
This section does not apply to you in your capacity as a consumer if you habitually reside in the United Kingdom, Canada, or Australia. See Section 17.1.
To the extent permitted by law, you will defend, indemnify, and hold harmless Notari and its affiliates, officers, employees, and agents from third-party claims, damages, and reasonable costs arising from your unlawful recording or lack of required consent; your User Content, including content you publish through share links; your material breach of these Terms; or your infringement or misuse of another person’s rights. You need not indemnify a party for its own fraud, willful misconduct, or conduct for which indemnification is prohibited. We may control the defense and will not settle a claim imposing a nonmonetary obligation on you without consent, not to be unreasonably withheld.
19. Disputes, Arbitration, and Class-Action Waiver
This Section 19 applies only to users who habitually reside in the United States. Users who habitually reside outside the United States, including in the United Kingdom, Canada, or Australia, are not subject to the mandatory arbitration requirement, class-action waiver, jury-trial waiver, or arbitration opt-out requirement in this Section. Disputes involving those users are addressed under Section 20.
19.1 Informal Resolution
Before starting arbitration, the party seeking relief must send an individualized written notice describing the claimant, account email, facts, legal basis, and requested relief. Send a notice to support@notarilabs.com with the subject “Legal Dispute Notice”; Notari will send its notice to your account contact. The parties will attempt in good faith to resolve the dispute for 30 days after receipt. A limitations period is tolled during that 30-day period to the extent permitted by law.
19.2 Agreement to Individual Arbitration
Except for the matters in Section 19.4, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and Notari that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitrator may award the same individual remedies a court could award and will issue a reasoned written decision when required by the rules.
Arbitration may occur by documents, video, telephone, or in person as the AAA rules permit. Fees will be allocated under those rules and applicable law. Notari will not seek attorneys’ fees from a consumer unless the arbitrator finds the claim frivolous or brought for an improper purpose under an applicable standard.
19.3 Class, Collective, Representative, and Jury Waivers
YOU AND NOTARI AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE ACTION OR ARBITRATION. THE ARBITRATOR MAY NOT COMBINE DIFFERENT PEOPLE’S CLAIMS WITHOUT ALL PARTIES’ WRITTEN CONSENT. TO THE EXTENT A CLAIM PROCEEDS IN COURT, YOU AND NOTARI WAIVE A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
19.4 Exceptions
Either party may bring an eligible individual claim in small-claims court; seek temporary or preliminary injunctive relief in court to protect intellectual-property or confidential information pending a final decision; or report a matter to a government agency, which may seek relief as authorized by law. A claim that applicable law does not permit to be arbitrated may proceed in court.
19.5 Opt-Out
You may opt out of Sections 19.2 and 19.3 by emailing support@notarilabs.com within 30 days after you first accept these Terms. Use the subject “Arbitration Opt-Out” and include your full name, account email, and an unambiguous statement that you opt out of arbitration. Opting out will not affect other Terms or your access to the Services. A prior valid opt-out remains effective for later versions unless you expressly agree otherwise.
19.6 Severability of Arbitration Terms
If part of this Section 19 is unenforceable, it will be severed and the remainder enforced, except that if the prohibition on class or representative arbitration is unenforceable for a particular claim, that claim will proceed in a court of competent jurisdiction and not in arbitration.
20. Governing Law and Courts
For users who habitually reside in the United States, the Federal Arbitration Act governs Section 19. Subject to mandatory law, these Terms and other disputes are governed by Delaware law, without regard to conflict-of-law rules. A dispute involving such a user that is permitted to proceed in court under Section 19 must be brought in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there.
If you use the Services as a consumer and habitually reside in the United Kingdom, Canada, or Australia, you retain the protections of the mandatory laws applicable in your country and, where relevant, your province, territory, or other jurisdiction of residence. You may bring a claim in any court that has jurisdiction under applicable law, including your local courts where applicable. These Terms do not require you to bring a consumer claim exclusively in Delaware.
Delaware law otherwise governs these Terms to the extent permitted by applicable law. Nothing in this section excludes mandatory rights or a court’s jurisdiction that cannot be excluded by agreement.
21. Export and Sanctions
You must comply with U.S. and applicable export-control and sanctions laws. You represent that you are not located in, ordinarily resident in, or controlled from an embargoed territory and are not a prohibited party, except where law permits access. You may not export or use the Services for prohibited end uses.
22. General Terms
Notari may send legal and service communications electronically to your account email or through the Services. You may not assign these Terms without our consent; Notari may assign them in connection with a merger, reorganization, financing, sale, or transfer of the relevant business. Notari is not liable for delay caused by events beyond reasonable control.
These Terms and incorporated policies are the entire agreement for their subject matter. A failure to enforce a provision is not a waiver. If a non-arbitration provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder continues. Headings are for convenience. “Including” means “including without limitation.”
23. Changes to These Terms
We may update these Terms. We will post the new effective date and provide additional notice for a material change. If law requires consent, we will request it. Changes do not retroactively alter a dispute that arose before the change unless both parties agree. Continued use after the effective date constitutes acceptance where permitted by law.
